KCC TRANSACTION SUPPORT SERVICES FACT SHEET |
| |
| Overview: |
The volume and complexity of today’s deals drive the need for more robust deal-management tools. Mergers and acquisitions, initial public offerings (IPOs) and private equity transactions represent just a few transactions that increasingly require on-demand access to deal documents. Virtual deal rooms (VDRs) streamline the information-exchange process and alleviate administrative burdens associated with complex corporate transactions.
KCC supports professionals engaged in corporate transactions with an end-to-end virtual deal room (VDR) solution and transaction-support services designed to facilitate every stage of a deal. With KCC DealView powered by Firmex, users have flexibility to brand their own custom VDRs to increase deal management control and build brand awareness for their respective firms. Additionally, KCC DealView provides a cost-effective VDR solution to firms and companies of all sizes. Clients can run an unlimited number of deals and offer accessibility to an unlimited number of users at a lower cost than many other traditional third-party VDR providers. |

The KCC Transaction Support Services team assists clients throughout the deal management process. With professional backgrounds as former corporate attorneys, financial advisors and online due diligence specialists, KCC’s team provides 24/7 client support. Services include:

| Technology: |
Built for deal teams and developed by web usability experts, KCC DealView provides clients with full control of deal flow activity before, during and even after closing transactions. The VDR technology allows users to conduct online due diligence, draft closing documents and execute transactions all in a centralized, secure web-based environment.
KCC Deal View operates as a web-based software application. Typical deal rooms can be set up within 24 hours for most standard transactions. The KCC Dashboard provides a snapshot of deal-specific information with one-click access to pertinent documents and deal activity reports. Authorized users can draft and edit deal documents for review in the same platform where due diligence takes place. Fundamental features such as bulk document upload, ‘drag and drop’ and automated index numbering support the flexibility of the system. |
| Security: |
KCC DealView safeguards all deal room documents through data and system security measures. It offers system administrators full control over which folders and documents can be viewed and the type of access granted to these documents.
KCC enforces access privileges with unique user name and password authentication and customized permissions for each user. Documents can be watermarked for printing, displayed in read-only formats, and blocked from printing to specified users. Additionally, KCC DealView undergoes continual monitoring and regular audits of VDR activity to protect it against user manipulation and external data theft. |
